Mr. Cicero handles a wide variety of real estate and business matters, representing developers and investors in their acquisitions, dispositions and financing of commercial assets, and in every phase of condominium and cooperative development.

In his commercial real estate transactions, Mr. Cicero represents clients in deals both large and small, including the acquisitions and dispositions of shopping centers, office buildings, mixed-use and multifamily assets across the country. He has closed many transactions that have involved the use of “like-kind” tax deferred exchanges (commonly known as “1031 exchanges”), as well as reverse 1031 exchanges. His financing work involves the representation of clients in a variety of loan structures for the purposes of acquisitions, refinancing and tax deferred arrangements. Mr. Cicero also has experience representing clients in connection with loan purchases.

His condominium and cooperative work incorporates the planning, formation and structure of new construction condominiums and cooperatives as well as the conversion of existing buildings into commercial and residential condominium and cooperative units. He handles the drafting and submission of offering plans and related regulatory filings, before the New York State Office of the Attorney General and other City and State agencies, and actively negotiates the sales of the associated units.

On the corporate side, Mr. Cicero advises clients on a broad range of corporate, partnership and limited liability company transactions, including the formation of business entities, the purchase and sale of interests in business entities, the structuring of tenancy-in-common and joint venture ownership agreements and the purchase and sale of business assets.

Mr. Cicero has been recognized by Super Lawyers as a Rising Star: New York Metro Area in the practice of Real Estate.

Mr. Cicero has represented developers and owners in a variety of projects, including:

  • The purchase of a large portfolio comprised of multifamily, mixed-use and retail properties in Westchester County, NY.
  • The sale of a portfolio of multifamily and mixed-use properties in Brooklyn, NY.
  • The representation of a national REIT in the simultaneous purchase of an institutional primary mortgage loan, a private junior mortgage loan and a deed in lieu of foreclosure from the owners of a vacant outparcel adjacent to the client’s existing shopping center in Suffolk County, NY.
  • The representation of a regional investment fund in the preparation, drafting and filing of condominium offering plans for several residential condominium projects located in the Park Slope section of Brooklyn and the Upper West Side of Manhattan.
  • The representation of a private real estate investment company in the bulk acquisition of more than twenty (20) residential condominium units in a distressed Manhattan condominium project, as well as the filing of an amendment to the condominium offering plan establishing the new ownership entity as the Successor Sponsor.
  • The representation of a life insurance company in the purchase of membership interest from a joint venture partner in a seven (7) property industrial portfolio along the East Coast.
  • The representation of a national REIT in the acquisitions and sales of several tenanted shopping centers across the United States.
  • The representation of a Sponsor in the bulk sale of 28 parking units to a neighboring developer, for use as accessory parking in a new condominium development.
  • The representation of a regional investment fund in the preparation, drafting and filing of condominium offering plans for two (2) luxury residential condominium projects in the Fort Greene section of Brooklyn, NY near the Barclays Center.
